In a merger, two companies come together and combine their assets and liabilities. One of these companies becomes the “surviving” company. Shares of the second company then convert into shares of the surviving company. The surviving company could change its name and decide on a new business formation structure.

An acquisition occurs when one company takes over another

In an acquisition, Company A takes over Company B. Company A achieves this through the purchase of shares of Company B, making Company B its subsidiary. Company A assumes Company B’s assets and liabilities. Shareholder approval is often required for a takeover. But an acquisition is also possible purely through the purchase of assets. In this scenario, Company A does not assume the liabilities of Company B. But other issues arise, including title changes of assets, such as real estate, financial holdings and intellectual property. Transitions can be cumbersome and lengthy. Among other things, we assist with the business dissolution of the acquired company.
